When an investor looks at your business plan and private placement memorandum they are looking for certain things. Of course funding sources look for the obvious, a solid business model, positive cash flow, industry genre with solid future growth, recession proof business (if there even is such a thing) and minimal debt.

Countless companies are turned down for funding because they lack the basics such as: an advisory board, board of directors, solid executive staff with a well groomed pedigree, reasonable share price, business plan and PPM that spell out the risks for the investor and an original marketing strategy that covers all the angles. These are just a few of the most common mistakes that companies make out of naivety and by not taking the time to hire an expert to properly structure them to make the entity appeal to investors.

Seasoned expansion and turn-around consultants can step into a company and immediately zone in on the issues that will hinder a client's investment magnetism. Often times it only takes 2 to 3 weeks to completely reorganize a company to make it stand out like a beacon in the turbulent finance industry. If you are seriously considering the idea of raising capital with a private placement memorandum, traditional institutional loans, venture capital or a public offering don't be penny wise and dollar foolish.

Spend some money and hire a consultant who is completely submerged in the finance industry to take control of the elements of your corporation that are seen as 'black eyes' to investors so that you can achieve the capital you're seeking.

The reality is, raising capital for your company is easy and straight forward if you've taken the time to examine your business objectively and sought out the expert analysis of an industry expert consultant who will run your company through a formula and make the necessary changes to increase your ability to raise capital. - 17990

About the Author:

Investor Finder Services, call Princeton Corporate Solutions at 267-233-0183Take Your Company Public the easy way!

Cisco Certification - Routed Protocols Vs Routed Protocols

By Bob Marshall

You must know the difference between a "routed" protocol and a "routing" protocol. A routed protocol can be routed by a router, which means that it can be forwarded from one router to another. Examples of a routed protocols are IP, IPX and AppleTalk.

A routed protocol contains the data structure for a packet to be sent outside of its local network segment. This structure is called an addressing scheme. Based on the addressing scheme, you will be able to identify the network to which a host belongs, in addition to identifying that host on that network. All hosts on an internetwork (routers, servers, and workstations) can communicate with each other by using a routable protocol such as IP, IPX or AppleTalk. A routingprotocol is used to communicate routing information between routers. Its purpose is to help routers building and maintain routing tables. Examples of routing protocols are RIP, IGRP, EIGRP and OSPF(there are many others). When a router has built a complete routing table from the various routing protocols it supports, it will be able to most efficiently forward traffic via the best route.

Routed Protocols

As mentioned above, IP, IPX and AppleTalk are three common routed protocols. The exam focuses on IP since that is the predominant protocol used today. So what do you need to know about IP other than that is how all your node to node communication will occur? Make sure you know how to subnet! If you do not know how to create subnet masks to most efficiently meet a desired goal of number of subnets and hosts, you will most definitely fail the exam. Understanding how to subnet will not guarantee that you will pass this exam, but not understanding subnetting will guarantee that you fail! If you have an IP address and its subnet mask, you need to be able to identify the subnet ID of that host, the first and last useable host on that subnet, the subnet broadcast address, in addition to the number of possible subnets and hosts per subnet. If those items do not come easily to you, then you will need to brush up on these concepts. Remember you have roughly a minute per question on the exam. If it takes you more than a minute to figure the above items out, you will not finish the test in the allotted time. In addition, you will need to know how to recognize a subnet mask in its dotted decimal form (255.255.255.248) and by using a bit count (/29). You should also know which bits must be off and on in the first octet for the various classes of IP addresses (Class B would have "10" in the first two bits).

Routing Protocols

The CCNA objectives only require that you know how to configure RIP and IGRP. However, you do need to know about the three classes of routing protocols (distance vector, link state, and hybrid), and which protocol belongs to which class. RIP and IGRP are distance vector protocols. OSPF is the only link state protocol with which you need to concern yourself at this level, and EIGRP is the only hybrid protocol. Know which protocol has a lower administrative distance (RIP is 120 vs. IGRP is 100), and that static routes have a lower administrative distance if you use the defaults a static router is 1 and a directly connected router is 0. When configuring RIP or IGRP, make sure that you also know how to turn on the attached networks so that they will start sending and receiving routing updates(network xxx.xxx.0.0).

Also remember that IGRP requires the addition of an autonomous system number(AS xx). Be familiar with the metrics RIP and IGRP use in determining the best path through which to route. RIP for IP only uses hops and IGRP uses only Bandwidth and Delay be default but can also be configured to use Bandwidth, Delay, Reliability, Load, and MTU. Remember that "show ip route" displays the contents of all routing protocols in your routing table. - 17990

About the Author:

Go to CiscoKits for your free Cisco Certification training. While your intentions may be pure and with genuine motives, you're entering shark infested waters of boiler rooms, crooked attorneys and underbelly consultants who have made careers off of taking well intentioned executives just like you for a 24 month rollercoaster ride while they take every penny you have as your company shrivels up like week old road kill.

Just and honest consultants in the 'public offering' industry are as rare as the illusive white elephant. This industry exists in a cesspool surrounded by rose gardens; from afar it looks amazing and an image of a dreamland but get up and close and the sludge and odor are enough to make you run and hide. So what do you look for in a consultant? The best consulting firms are the 'boutique firms' with minimal overhead that keep a low profile and are made up of 3 or 4 'partner' consultants.

These firms typically have the experience of working with the large consulting groups but for one reason or another have decided to leave and go out on their own. The great thing is, these small groups typically have massive contacts and process your entire public offering in-house. Offering a complete turn-key solution that is managed in-house offers a huge advantage because there is accountability and you can actually build a relationship with the people that are making your dream of a public offering come true.

These 'boutique' consultants will usually stay onboard as growth consultants for the life of the company in exchange for modest fees and a pre-IPO or pre-OTCBB equity position. The large firms will hack you out at the knees and gouge you with fees while they take massive amounts of equity in your company which takes away your bartering chip when you need to offer more stock to the public to raise capital.

The small firms will also work one on one with you to show you how to use your stock to grow through acquisition and other nifty ways to use stock to grow. Seek out the boutique consulting firm and save the attorney for spot audits. Hold on to your cash. Why pay outrageous fees to lawyers when you can pay 60% less with a small consulting firm that will add all the bells and whistles for free and actually get your stock trading, usually in half the time? - 17990

About the Author:

Want To Go Public With Your Company, call Princeton Corporate Solutions at 267-233-0183Take Your Company Public the easy way!

How to Make Sure It's Not the Satellite Direct Ripoff

By Philip Ridnour

As we advance technologically, more advancements seem to surface regularly. One of the highlights of 2009 was the proliferation of many TV for PC programs that allow you to watch television straight from your laptop.

While it seems like new companies continue to offer software like this, the most popular of the bunch has been Satellite Direct. Buying the service gives you lifetime access for a one time fee and no monthly cable bills.

No matter how ready someone may be to hit the purchase button, anything on the web should always get special attention before it's bought. People end up doing research to make sure that a Satellite Direct review gives them the information they're looking for

This article is going to focus on some of the key points you should know about Satellite Direct TV for computers. Whether you know these things or not, I'm not sure, but I imagine that you'll learn a few new things nonetheless. The following questions are those that I'm asked most often when it comes to the product.

The question I come across most often has to do with the legality of Satellite Direct. Some quick research would show you that the FTA laws make it perfectly legal to watch these channels via satellite, as it's a known fact that they're readily available for free through services like these.

Some people ask me if they'll ever have to pay anything on top of their initial cash outlay. While the cost of Satellite Direct is made abundantly clear on the sales page, people still cautiously proceed to ensure that this is all they'll pay. To answer their question, there are no hidden fees involved.

Another common concern that I come across has to do with people wanting to know if they'll need any other components in order to get the service working. When it comes to Satellite Direct, all you'll need to do is treat it like you'd treat anything you ever downloaded. You'll have it up and running within minutes.

Having said that, I believe I've covered the essentials here. With this knowledge, you should now have a much clearer picture regarding Satellite Direct and its features. - 17990

About the Author:

Learn more regarding this software, and read about the new Satellite Direct for Mac, for further information.

Prospering During The Tough Economic Times

By Jay Polmar

Want to prosper during these tough economic times? Some people are struggling, but we are some of those who are prospering during these seemingly challenging times because we are driven with new business opportunities, increased revenues, things like new book deals, and stronger and healthier relationships that have more intimacy than we ever thought.

Why are we thriving, no matter what is going on in the world around us, while others seem to be challenged? The difference between those who are magnetizing their fair share of abundance to them, and those that are either only getting by or feeling stuck, is the vibration level " the frequency at which their own energy vibrates. When we turn on a higher frequency in our inner worlds, our outer world must mirror that back to us in everything we do!

The body is very much like a radio tower constantly transmitting thoughts and feelings on a specific frequency into the Universe. The thoughts and feelings you are having mentally create a vibration of energy that you send out throughout the universe. Then its reflected back to you by the Universe, producing results you can see, smell, taste and touch! Its an automatic manifesting machine and you cannot shut it off. It works according to the Law of Attraction and it will never stop working while you are still living and breathing. The only power you truly over it is to choose where to place your focus and your intention in this process " in the HERE AND NOW!

"Every type of focus, intense thought, visualization, emotional imagination, intention, all sets energy into motion. Whether you know it or not, energy is all there is." ~ Dr. Jay Polmar

If your body energy has been living in a elevated state of feeling free, abundant and in love with life as it is, you will attract all sorts of positive outcomes with effortless love in your life, you will attract the people and things you desire into your life.

If your body energy repeats daily feelings of being afraid, not having enough or being (in any way) needy, you will manifest experiences that are very challenging. You do not want to focus in this direction, just release this old pattern of thinking and feeling, reprogram your vibration to FEEL alive and positive about everything in life! The key to being able to transform life is very simply to imagine it and walk into the frequency of a super positive way of thinking and feeling " its that easy, and everything will follow that natural path that you are creating.

Yes, you are a supernatural, yet quite natural, magnet, attracting to a something you always focus on in your life; good or bad " its up to you. Because the space is easy to manage, you can really let your creativity run wild. Treat it like your prototype in setting the tone for other rooms in your home. Today there are a myriad of styles, themes and color schemes to pick and choose from. Many bathroom specialists have made our lives much easier by using bathroom vanities as a focal point and working around them to make our bathroom experience a truly unique one.

The humble bathroom is such an understated room in the home because it is usually associate with relieving one's self. Many years ago the concept of a bathroom did not really exist. It was rather just a long-drop in a little outdoor house. When the advent of porcelain took the world by storm, manufactures started making toilets that could be used inside the home. Hence the bathroom was born. Now you could conveniently have the toilet and a tub in one room.

I remember clearly what my grandma's bathroom looked like. It was really dull; with a wash basin, a tub, a toilet and a small cabinet. These of course were all in white as it gave one a sense of sterility, but her bathroom was usually a place where you wanted to get out of very quickly.

As time marched on and fashion became prevalent in our lives and even more so in our homes, we started demanding better looking bathrooms from the industry. Well, they sat up and listened. You can now just walk into a bathroom store and quickly assemble the style you want.

Having said that, lets have a look at vanities and their functionality.

As mentioned before, a vanity should be the focal point of your bathroom as it has more than one purpose. Not only do you use it to collect water in; it is also used to brush ones teeth and wash ones face. You could also use the cabinet below the basin to store your towels, soaps or detergents.

Today bathroom vanities are both functional and beautiful and no matter what your fashion sense is, you will find decorating or redecorating your bathroom is both satisfying and rewarding for years to come. What better place to express ones creativity than in your humble bathroom. Lets change our perceptions and make our bathrooms a place where we want to spend time relaxing and revitalizing our bodies and mind. - 17990

About the Author:

Bathroom vanities come in different sizes and models. They plan and teach a number of stimulating activities for your child and are most often very committed to your child's well being. When looking for a Farmers Branch Texas day care center, there are a number of things that you can expect from the center.

When you visit the potential child care center that your child might attend, you should look out for the following practices that indicate a well run establishment.

The most important thing to look out for in a potential child care center is its commitment to your child's safety. There are many safety standards that have to be met in order for a center to be accredited and you can find these out and judge them when you visit. Ask the director of the center about their safety procedures and systems and if you are not confident in their ability to keep your child safe, then move on to another center.

The day care center that you choose should also have efficient systems in place for sharing information about children's care requirements. Some children have special needs that must be met satisfactorily in order to be happy and healthy. If your child has special needs, the ensure that you ask the center about how they can handle them.

Your Farmers Branch Texas day care center should have good communication channels that are used effectively to disseminate information among staff members and between the center and parents. While visiting the center ask how information is shared around the center and how information is shared wit the parents. You should also choose a child care center that has a supportive environment and does not have a judgmental ambiance.

Your child's day care center should also have an open door policy that welcomes you to visit at any time. Initially putting your child into child care can be very stressful for your child and even more so at times for you. You need to feel confident that your child is happy and a center with an open door policy can assuage any concerns that you have.

You can find the right Farmers Branch Texas day care center for your child that will nurture them and allow them to grow and be cared for well while you are at work. Visiting the centers and asking questions based on the above advice will help you to transition back to work more easily and your child to become used to child care seamlessly. - 17990

About the Author:

Learn more about Farmers Branch Texas day care center. This victory set the stage for the Gators' appearance in the National Championship Game.

The Gators struck first, taking a 7-0 lead on a three yard Tim Tebow TD pass to Carl Moore. The Crimson Tide quickly counterpunched, tying the score on an eighteen yard run by Glen Coffee and taking their first lead of the game at 10-7 several minutes later on a 30 yard FG by Leigh Tiffin. Florida responded in the second quarter, tying the game on a Jonathan Phillips' yard FG and taking a 17-10 lead into the halftime break on another Tebow TD pass, this one to David Nelson from five yards out. Alabama regained the momentum in the third quarter, tying the score on a 2 yard Mark Ingram touchdown run and then regaining the lead at 20-17 in the final seconds of the period on another Tiffin field goal. Florida put them down for the count in the fourth, however, on a 1 yard Jeffrey Demps TD run followed by Tebows third touchdown strike of the day.

As was the case more often than not during Floridas run to the BCS title game, Tim Tebow was the big star for the Gators. The junior QB had 216 yards passing with 3 TDs and no interceptions plus fifty seven yards on the ground. Florida head coach Urban Meyer wasnt hesitant about praising Tebow effusively in his post game comments:

"I've had some great players, and I've got some great players on this team. But I've never had one like this. Tim's got something special inside him. I'm not talking about throwing. I'm not talking about running. I'm talking about making everyone around him better. That fourth quarter was vintage Tim Tebow.

Alabama coach Nick Saban concurred:

"He's a great competitor. He takes his teammates on his shoulders a lot. They have a lot of confidence he's going to make plays, and they play that way. They scored two touchdowns where we had them covered about as well as we could cover them."

The conventional wisdom is that the Gators are a speed and finesse team, but according to cornerback Joe Haden the world has underestimated their toughness:

"Our team is a tough team. The only reason they look past our toughness is our speed. They said we were a speed team and they were a tough team. We're just as tough. We can still be pretty and fast and tough at the same time."

Even in defeat, it was impossible to overlook the remarkable resurgance of Alabama football. The team was only two years removed from a 6-7 record in their last year under Mike Shula. In only two years at the helm, Nick Saban has amassed a'-7 record at Alabama with no signs of slowing down. - 17990

About the Author:

Ross Everett is a freelance sports writer and respected authority on sports betting odds comparison. Those who're not familiar with the term don't really understand its relevance with the online business, while those who know its power essentially take all the pain to carry out split testing to the maximum possible level.

Since the term split testing isn't so self-explanatory, let's try to analyze its actual meaning and relevance to the business with the help of a simple example. Considering that you own a local retail showroom that sells electronic items such as microwave ovens, you can adopt vivid kinds of sales and marketing strategies, such as impressing the customers with your live demo of the product, educating them about its benefits, and there are other venues to do the same.

When you do the same sale over the internet, asking queries about the product is not possible. Over the internet it is not possible to know the people views on the product, where as manual sale can do.

Now, when you consider an online store that sells oven, the overall concept remains the same, but the way in which, you may sell the oven online in an ecommerce store rather than a conventional shop, would vary drastically, hence an altogether different strategy needs to be adopted. Split testing can be done separately for both the ways of generating revenues, but the whole point of performing split testing in focusing on the minute details of an approach rather than comparing two different ways of a campaign.

With small changes in the splits, create two different splits that differ by a quiet minor change. One has to be selected from the two, which works better than the other. For example consider a small scenario that you have two different AdWords, one is running and the other ads up. One of them contains its sites URL written in capital letters and the second one does not. The split with capital letters works more efficient than the other by 0.4 percent. So before creating a split one should see that all the splits are in capital letters.

Remember, getting a flawless product is all about continuous improvement, and split testing helps you to approach that nearly-flawless product within a short span of time. Even running the best advertising campaign is a part of the strategy, and overall marketing plan, so paying attention to the most successful ad formats may be worth your time. These small things can surely make a big difference as a whole.

As no product is ever perfect, likewise no online marketing campaign is ever flawless, so split testing helps in finding out the areas of improvement, and rigorous split testing helps you in distinguishing what kind of minor tweaks have worked successfully for you, in certain areas, and what has not been beneficial despite all your efforts. Split testing gives you the best returns of your efforts dedicated to your online campaign, and let's you create a league of your own on the internet. - 17990

About the Author:

Justin Harrison is an internationally recognised Internet Marketing expert who recently published a detailed guide on how to split test. The Pittsburgh Steelers' used a couple of big plays from their defense in the fourth quarter to break open a close game and defeat the Vikings by a final score of 27-17. Favre put up decent yardage in the loss, throwing for 334 yards but had no touchdowns and an interception.

NFL pointspread players who backed the Steelers as -6 home favorites were rewarded with the cover. Pittsburgh had only covered one of their first six games heading into the contest, and the win improved their record against the number to 2-5. Minnesota dropped to 4-3 against the spread with the setback.

The Steelers largely shut down Minnesota's rushing game, holding Adrian Peterson to 69 yards. Pittsburgh safety Ryan Clark underscored his team's dominance against the run:

"That's the biggest point of the game. You have the best running back in the world and you don't give it to him. They're saying they can't beat us running, and that's a major statement when you have the guy they have back there."

Favre gave a mealy mouthed justification for the loss in his postgame interview:

"There were a lot of what ifs, a lot of reasons we didn't win. The red zone was one of them. They're physical, and they were as good as we thought they'd be. ... When I came here and looked at our schedule and saw the Steelers game, I went, 'Oh-h-h.' "

Favre has only thrown three interceptions in a Vikings' uniform, but #3 was a costly one as it was returned by Steelers' Keyaron Fox for a touchdown to put the game out of reach as Minnesota was driving for a potential game tying field goal. Afterwards, Fox recalled the play:

"Brett tried to force it in there and the running back bobbled it and slipped out of his hands and it fell into my lap. I had just run across the field after Peterson and I was winded, so it felt like it was 100-plus yards."

The Vikings now face another big game next week as they head to Favre's old stomping grounds in Green Bay for a battle with the Packers. It'll be Favre's first appearance at his old home in an enemy uniform. The Vikings are a +3 road underdog with the total set at 48. The Vikings will then have a bye weekend before hosting the lowly Detroit Lions on November 15. Pittsburgh will enjoy a bye week this week before returning to action on Monday, November 9th facing the Denver Broncos on the road. - 17990

About the Author:

Ross Everett is a respected freelance writer specializing in casino gambling, fine dining and sports betting. When doing business online, one of the first things you'll need is a web hosting package. This can be very a very hard decision for many people, as there are so many options to choose from. One option that gets talked about quite often is shared web hosting. If you're new to the online world, you may not know what you should expect from shared hosting. Below is some information on shared web hosting.

Opting for top web hosting service is a harrowing task most of the times as there are some very crucial features you require to take in consideration. What actually makes a web hosting service top rated can be decided by considering few important aspects.

Web space amount A top website hosting service offers you the required space on the server along with giving you assurance that in future it will render you with appropriate space amount for your site considering your needs of business. It is possible that you look for opportunities to expand you business in near future. For which you might need space also. So it becomes extremely essential for you that the hosting service you opt for should render you with sufficient amount of space particularly in case your site includes graphics as well as video clips.

Having said that, there's no free lunch. There's always a catch for the so-called free web hosting. You want no ads, money talks. You want to host at no fee, ads will appear on all your web pages. Simple as that. Here's my suggestion though. If you're creating website for personal use without the aim of making money, then model B is what you should go with since reliability and quality are not your prime concern.

However, if you want to build a real moneymaking business, then whichever free hosting service can kill your bottom line. Believe me, I've been there, done that.

In spite of some of the shortcomings found in shared hosting, it is a popular and reasonable choice for new businesses. Compared to other types of web hosting, it is cheaper and as a business grows, it can simply move to the next higher tier of hosting as necessary. Going in with a solid concept of what shared hosting means will make sure that you're able to start your online presence the right way from the start instead of having to correct mistakes along the way. - 17990

About the Author:

Trabajar desde casa es fcil si sabes como Todo sobre Juegos Mario para gente que le gusta jugar

Small Town Brawl!

By L.J. James

It was a quite day in a small Bar in upstate New York . The girl working behind the bar was young, she had just turned twenty one and had only been bar tending a few weeks, this was her first time working alone. Everything was going fine with only two of the regulars in the back shooting pool it was nothing she could not handle she thought to herself.

Then the front door opened and in walked ten of the biggest men she had ever seen. They talked loudly and as they walked over to the far side of the bar, She got a look at the back of their jackets. She could easily see that the markings on them where all the same. The men ordered pitchers of beer and their talking only got louder as they drank more and talked about things she did not understand. Then the men went quite as the front door opened and in walked seven more large men, at first she thought these seven men where with the first Ten as they looked and dressed similar but as she looked at the markings on the backs of these new comers Jackets she could tell while they where similar the markings where different, By the way the two groups where looking at each other she guessed the difference must mean a lot to them.

The Seven men sat up toward the front of the bar and also ordered pitchers of beer. The young girl did her best to make sure both groups where kept happy, but it was just a matter of time and Beer! When one of the men from the first group called out to her, "Hey Honey don't worry about those guys, there losers! Come over here and hang with some real men." That was all it took, the fuse was lit. "Who you calling losers pal we are good enough to beat you any day of the week!" Yelled back a guy from the second group. "You may think your as good as us but you never will be!" Yelled back a man from the first group.

Then in what was a blur to our young barmaid a fight broke out between the two groups it was loud and she could hear glass and wood breaking all around her as the men cursed and screamed at each other. This young Girl was scared and she feared for her life.

Her fear abated a little when in the distance she heard sirens. The police are coming, she thought to herself as she hid behind the bar. The police arrived in force and they stormed in arresting the men and taking them away. When things got quite and all the men where taken away the young girl looked around the small bar. So much damage she thought to herself, She looked at one of the officers and asked how did you know to come here. We got a call that these two groups where both heading to this bar and we just knew, it happens all the time with these type of guys!!!

Epilogue: The next morning when the young barmaid awoke she walked down stairs to the kitchen where her father was reading the morning paper. Does it say anything about the fight in the bar yesterday she asked her father? Yes he said as he pointed to a small article in the back of the paper "Yankees and Mets fans Brawl it out in small town bar" the story went on to explain how all the men where given tickets for disorderly conduct and released. That's it she screamed at her father these men trash the bar, scare the hell out of me, They should all be in jail and all they get is Tickets!!! Calm down sweetheart her father said as he hugged her, The way your acting one would think it had been a bunch of rowdy Bikers in the bar yesterday! Those Guys would have been locked away, But it was only Sports fans!

Story By Your Bro L.J. Have you exhausted your traditional institutional sources and hedge fund contacts? Don't lose hope just yet! First of all, take all those pamphlets and brochures from banks and other traditional lenders that are lying all over your desk and toss them in the trash...they are absolutely useless.

Banks don't have your company's best interest in mind as they are hardly even staying afloat in this economy. Today's institutional financier isn't qualified to run a bath let alone a bank. Don't put your future in the untested hands of a 20 something knucklehead. After you've tossed all that useless info in the trash, clear your head and then look at your company and ask yourself a few tough questions: Is your company invest-able? Do you and your executive staff have a pedigree that investors deem as seasoned enough to take their money and make affective use of it and not lose it? What proprietary concepts/technology/patents do you have that give you a larger market share with the proper cash infusion? What is your current capital/debt situation?

If, after pondering these questions you've come to the conclusion you honestly, truly have something worth pursuing then the next step is to look at the reality that your company is worthy of a public offering. Stay away from Pink Sheets and be weary of reverse mergers and in reality your company won't qualify for the NASDAQ so the quickest way to raise public capital is the OTCBB (over the counter bulletin boards).

OTCBB is an SEC regulated platform that has a solid investor following and market makers that can effectively promote your stock to rapidly raise capital. Don't let these difficult economic times steal your dreams of corporate prosperity and personal growth.

If you have a solid business concept, there is a way to fund it. Look into the OTCBB, it's your best bet for an inexpensive public offering with a direct path to long term funding. - 17990

About the Author:

Take Your Company Public, call Princeton Corporate Solutions at 267-233-0183Take Your Company Public the easy way!

Redskins Offense In Disarray As Lewis Takes The Reins

By Ross Everett

The Washington Redskins are a mess right now. Head coach Jim Zorn has a tenuous hold on his job at best and after Sunday's---6 loss to Kansas City was stripped of his offensive play calling duties. Management installed newly hired 'offensive consultant' Sherman Lewis as the new offensive play caller and the team has set up an awkward arrangement for him to get the plays to the quarterbacks. For that reason, starting QB Jason Campbell has some serious misgivings about the efficacy of the setup.

Lewis has only been out of retirement and with the team for two weeks, and has spent this week trying to ingest a crash course on the Redskins' offensive schemes. While he was learning on the job, head coach Zorn was trying to put the best spin possible on what can only be seen as a de facto demotion and vote of 'no confidence':

"I need to have composure. I need to understand what the reality of the situation is, and I think our players expect me to rise up. We expect them to play under adverse conditions. We expect them to risk it all. ... I'm conscious of what's going on. I'm not naive about what's going on, and yet I have to just hold back on any feelings and make the decisions."

Quarterback Campbell is more concerned about the convoluted system of getting plays from Lewis to him:

"There'll probably be a couple of plays I have in my head just in case if some reason it doesn't get in on time."

Here's how things are supposed to work-Lewis will sit in the coaches' box above the field and read the plays off a sheet. While Lewis has years of experience working in the so called 'West Coast Offense', Zorn left doubt that he really knows what he's doing at this point stressing that Lewis "doesn't know the protections" and "doesn't know the blitz schemes." Nevertheless, he'll be running the offense when the Redskins take on Philadelphia this Monday night.

Once Lewis figures out what to call, that's when it really gets tricky. He'll relay the plays via headset not to Zorn but to offensive coordinator Sherman Smith. Smith will then inform the quarterback what to run. Zorn is left in the role of a passive bystander on offense, though he will listen in to the playcalling on his headset.

Backup quarterback Todd Collins also shared his concern with the new arrangement:

"It is unsettling. I've never gone through this before. I've never had a play caller get changed in the middle of the season."

Lewis didn't exactly evoke a lot of confidence upon his hiring, where he revealed that he'd been calling bingo games at a seniors' center to kill time since his retirement in 2004. Still, Collins gave him a guarded vote of confidence;

"I know he's been studying last year's game against the Eagles and seems to have a pretty good idea how he wants to call the game this week. It's the same plays. He might coach them a little differently or highlight some different areas, but the offense hasn't gone under an overhaul or anything like that."

The Redskins haven't scored more than 17 points in a game this season, so maybe the thinking is that things can't get any worse. The NFL odds for Monday Night's game show the Eagles a -7 road favorite with the total set at 37'. - 17990

About the Author:

Ross Everett is a freelance sports writer and noted authority on sports betting odds comparison. An excellent idea would be to isolate the couple from the ongoing celebrations so that the photographer can capture the beautiful intimate moments between them and create some everlasting portraits This helps the couple to get away from the delight of their wedding as well.

Ideally, the photographer would be required to spend a casual amount of quality time with the bride and the groom during the portrait session. On the wedding day it doesn't always happen because it is rare to have time on the actual day of the wedding. The time taken for pictures can well vary from an hour to no time at all. It can take up to an hour for the photographer to take the pictures.

When is the best time to take aside the bride and groom for some quality time with the photographer?

Since the couple will still look fresh, most photographers believe that the window before the reception is suitable for the portraits.

Sometimes the bride and groom would want to start the portrait shoot even before the ceremony says Bradley Hanson, award winning photographer. When the bride is getting ready is when he usually starts photographing.

Right after the newly-weds have exchanged vows is a great time for some photographers to have their portraits done, since they are still fill with all of the emotions.

The couple should set aside some time with the photographer so the perfect actual day photo shoot will be flawless. Finding a polite way to lose the relatives and guests is sometimes hard but is worth the beautiful moments they will cherish for a lifetime.

Too many people trying to take pictures of the newly-weds and crying for attention may very well ruin a good portrait session on the wedding day. As a result of this, most photographers choose to have the couple alone for the shoot so that it is not disturbed by anyone.

Most newly-weds start feeling uncomfortable before the camera when the portrait shoot is going to take place, says Shawna Herring, award winning photographer. To help the couple forget the camera is there, the experienced photographer will try talking to the couple about things other then the portrait shoot.

It is also recommended to choose a day before or after the wedding for the photo shoot and go with the photographer to a different location. This really helps loosen up the bride and groom since it helps build a comfortable relationship with the photographer. In a short time, the couple may even forget the existence of the camera.

It is at times impossible to achieve the perfect alone time with the photographer due to a variety of reasons. The bride and the groom should work together with the photographer to find some alone time so that a really creative portrait session is achieved. - 17990

About the Author:

Find out more about the best Food Photographers who are also top in their field for Bridal Photography.

Are You Trying To Take Your Company Public? How To Go Public Easily 100% of the Time!

By James Scott

There are many ways to use capital without using bank loans, lines of credit and other shady methods like shelf corps and bogus platform scams. If you are truly trying to raise capital for your company here are some simple breakdowns of your options with a quick definition for each one:

PIPE: Private Investment In Public Equity this is used primarily by mutual funds and private investment firms where they buy discount stock in order to raise capital, there are two types of PIPE's traditional where common and preferred stock is issued at a set cap to raise money for the issuer and a structured pipe issues convertible debt.

DPO: Direct Public Offering is when you sell equity shares directly to customers, suppliers and employees.

PPM: Private Placement Memorandum is also known as an offering memorandum takes advantage of Regulation D rule exemptions 504, 505 and 506. This process came into existence with the'33 securities act and popularized in the late'80s, companies can raise money from the public via private placement; there is virtually zero interaction with the SEC after you file form d as long as you stay legal. (most popular form of fund raising).

IPO: Initial Public Offering: extremely expensive, need SOX 404 audits, must have board of directors, quarterly financial reports to shareholders, report heavily to the SEC and 1 out of every 1000 companies that want an IPO actually qualify. I love participating in these but most companies just can't qualify for one reason or the other.

OTCBB: Over the Counter Bulletin Board is an electronic quote system that is the next best thing if you can't go public via IPO, there is minimal red tape to start-ups and small businesses and is legitimized by the stringent ongoing reports to the SEC which keeps investor confidence high (these are extremely solid and I suggest this structure to companies when I am hired by their company or legal team as a consultant as a fast, easy way to raise big capital from the public otc)

Pink Sheet: you can look at pink sheets as the Burger King, while the OTCBB is McDonald's, they are competing OTC mechanisms. Pinks sheets are commonly referred to as penny stock and notorious for 'pump em' and dump em' controversies and a lot of crooked people are involved with this platform. This is not a long term process that will allow one's company to grow, pink sheets companies are typically short lived but it is cheap to set up but not a professional structure that could be upgraded in time to an IPO.

Reverse Merger: a group funds the filing and creation of a public shell, they then sell that shell to a company that wants to go public, the established company merges it's entity into the public shell. The sellers retain around 30% equity after they charge an upfront fee of 300k to 1m. 99% of reverse mergers are successful with the merger, but unsuccessful to bring them to trade and the entity basically just fizzles out.

Taking your company public is actually quite simple and inexpensive when you have the right consultant putting the structure together for you. There are countless ways to raise capital quickly and easily. It's important that you understand your options before you waste time entering into the red tape infested banking system for a loan. - 17990

About the Author:

Go Public With Your Company, call Princeton Corporate Solutions at 267-233-0183Take Your Company Public the easy way!

<link rel='alternate' type='text/html' href='http://how-to-find-a-niche1.blogspot.com/2009/12/are-you-trying-to-take-your-company.html' title='Are You Trying To Take Your Company Public? You will be surprised about how many people want events covered and photographed.

How to do it

You must be careful what events to cover if you want to make money. Only where people want to retain memories will it be worth your while.

One idea is to go to kids sports events. Get permission from the coach to click pics for the parents watching and then start clicking away. If you turn up with a massive telephoto lens like the ones used for pro coverage of events, you will be taken seriously. Make sure you get all the kids doing great action shots and then hand out flyers to all the parents watching with your web address. If you can get hold of the parents email address so you can email them the URL of you site then upload the pics to your web site that day and email everyone. If you have a simple shopping cart set up you can make money in a few hours as people pop in to see the pics and buy them for $20 or more a pop.

You can do a similar thing with weddings. Take all the regular shots as part of the wedding coverage but then get your URL printed on the wedding invites and all the other wedding materials and also get an email list of all the wedding guests, offer the couple a nice 20% discount for doing this and then take lots of extra pics at the wedding of the guests doing all the things they do. Upload all the pics to your site and send the emails. You will then make a lot more money than the 20% discount it cost you because then 20 or 30 people will be also buying your pics at $20 or more a shot straight from your site. You can also charge a higher price for high resolution pics.

The key is to just find a corner of the market where you can take the pics and then sell them easily online.

Dog shows, fashion shows, horse shows, car shows, livestock competitions, rock shows, - the list goes on. Keep your eye out in the events section of your local paper to see what is happening. Always ask for permission to shoot pics and if you need to offer the people 10% of the income if feel you need to so you can get easy access. - 17990

About the Author:

Find out about Event Photographer and Wedding Photographers in the Asia region.

Fundamental Concepts Of SEO

By Sophie Lim

Any query of a popular word in a search engine would result in a huge number of results. In this scenario, the methods which enable a company to be displayed in the first few results for a query using a specific word is called Search Engine Optimization or SEO. Getting to the top of a web search can attract more traffic for your website, resulting in more business, and that is why SEO has attained such popularity in the past few years.

There are two kinds of SEO - white hat and black hat. Black hat SEO involves somewhat unethical ways to make a website appear at the top of the search rankings. In contrast, white hat SEO abides by all the rules prescribed by the search engines and concentrates on the methods which are commonly approved of.

The search engines previously matched a webpage with the search for a particular word by making use of Meta data, which is normally included in the code of a webpage. However, major search engines now make use of complex algorithms to display the results that are filtered on the basis of more than 200 varied factors.

SEO experts have to keep track of all the new developments made by search engines and guess the relative weight of different factors in a search algorithm. This information assists them in updating the SEO strategies for their customers to propel them to appear in top results of well known keywords. For the earlier algorithms, which utilized only the Meta data and web site content, the optimization method used was to bring the desnity of a keyword on the page to a proper level and managing the Meta tags of the page.

Although these aspects are crucial even today, the popularity of the web page is now more important as far as the search engines are concerned. The number of links referring to a web page indicates the popularity of that web page. This method is democratic in essence, where every link is like a vote for the particular web page. Because of this, now SEO has to concentrate on offsite techniques as well, like offering content for free to receive inbound links and developing a presence on online hubs for social interaction, such as blogs, forums etc.

The crucial aspect of SEO to be always remembered is that it is not a one time activity. The field is always changing and your techniques need to adapt to those changes. This is what makes using the services of an expert SEO consultant so vital. - 17990

About the Author:

Find out more about the available SEO Singapore and SEO Trainings.

Innovative Chandeliers Are Finished In Variety Of Styles Focusing Upon Wide Range Of Modern Interior Beautification

By Connor Sullivan

The chandelier lights have been the adorable for centuries to the interiors of palaces and prominent buildings. It is better to plan beforehand and select suitable style of chandeliers keeping the budget in mind instead of buying the pieces for capricious whims rather than suitability. - 17990

About the Author:

Connor R. And it's much easier to compare prices online on your computer than calling for prices.

Glow sticks bring the convenience and safety of having a lighting source without battery, electrical plug or flare. (1R23) Larger sizes such as 12" and 16" ones can also be used for traffic control and situations requiring even brighter light output. 1X7 Light sticks are even used in night kayaking and swimming. The kayakers carry glow necklaces and the swimmers attach bright glow sticks on the back of their goggles and that enable them to be easily identifiable in the water.

As for glow necklaces, the standard size is 22" long, which is the standard size that can easily fit most people's neck. They are usually 6mm in diameter. As to glow bracelets, they are 8" long by 5mm dia. 8" long is the standard industry size for easily fitting on most people's wrist. Compared with glowsticks, necklaces and bracelets are considerablely thinner.

Quality glow necklaces glow at least 8 hours. They are typically packed at 50 pieces per tube. You can get them online for under 50 cents per piece. Glow bracelets, being much smaller, are at about a quarter the price of necklaces. Some online store even offers free bracelets for order over certain amount.

DJs throw out glow necklaces into the crowd at special events. While dancing, people get excited immediately when they see with glowsticks. If you search the Internet for work at home jobs, and you might be overwhelmed with the total number of sites. Even so, there are heaps of work at home scams drifting around on the Internet that you must look out for. Here's a list of a couple of things to avoid while you are looking for a good work from home career.

To start with, be cautious of work at home opportunities that promise you will get rich quick. If it seems too good to be a great job, it probably is. Steer clear of offers that demand you to send out money to receive the information about the opportunity or expect you to purchase a system to begin the work at home program. Almost all genuine work at home opportunity offers don't require an investment to get started. Be careful of overinflated claims of the effectiveness of the product.

Most of these advertisements encourage you to invest in a get rich quick program, that you probably wont receive or is a great deal harder to sell than told you. You may also be held accountable if you are asked to sell a fallacious program to other people.

Most work at home job systems involve stuffing envelopes or packages, work in home assembly, forwarding letters and filling out insurance claims. These scams usually involve money upfront for training or for products which never materialize. The work at home assembly programs often leave people with products they assemble and don?t get paid for.

Working at home job rip-offs will never provide you a steady wage for a particular position. They might use personal recommendation regarding the overwhelming success of their opportunity, without ever identifying peoples names. work from home employment systems will not normally call for no experience, however they will still assure you that you will make huge profits.

Stay away from work at home job offers with typing errors or advertisements that use all capitals. This is a solid indication that the business organization is not not at all respectable. Take care to look for contact information in the advertisement. If there is no contact information this ordinarily means it is not a true advertisement. Undefined job details are likewise signs of a scam.

If you fall victim to a work from home rip-off, contact the company and request a refund. If they reject your request to send you a refund. Inform law enforcement officers and the nearest Better Business Bureau. Document all your involvement with the company such as letters and keep a record of it all.

There are genuine work at home opportunities online. You must defend yourself by avoiding the common pitfalls of work from home opportunity rip-offs.

One of the best ways to start building an income is to start your own online business. By starting your own internet business you can be fairly certain your not going to be scammed. That being said there are programs out there that can teach you how to begin your own web based business and some of them are scams. The only method, to be sure not to be scammed by one of these programs is by searching for an online business review website to find the top program for you.

A great site to begin with is: 1stbusinessreview.com, they examine internet businesses and place the ones that have worked for them, on there site. - 17990

About the Author:

Brian Tubbs works as an internet marketer full time. How much super power is attached to it you may ask? Well dear reader you are about to find out soon. You'll find most women without different types of clothing, but hardly without their handbags, particularly when going to an important occasion or party.

Some folks say that ladies use bags because of the fact that they do not have anywhere else to keep their wallet and other stuff, when you're a guy it is a lot easier to put something in to your jeans pocket. These types of folks keep pronouncing that if the ladies had pockets they would not carry handbags. But this isn't the complete picture in any way. Although you might imagine a woman needs a handbag to put away items, like money and additional things, girls use bags as a part of their dress.

Their dress will simply not be complete when they don't carry their bags. And this is not just any kind of handbag but the right handbag for the right dressing. From queens, first ladies, senators and business ladies. Most powerful women are never seen without their handbags. Powerful men can be found many times without their purses, but never powerful ladies.

This undeniably tells us that there is a whole world of power hooked up to a lady's purse. So, you should never be found anywhere without your purse. And your bag must complement your dress.

You must know by this point that purses absolutely contain super powers. Don't be stunned that it is one of the explanations why the men can not help staring at you when you're totally dressed and carrying your handbag! - 17990

About the Author:

For more information, go to best purses for more tips.

The Best Motion Picture Opinions On Hand For Your Satisfaction

By Cory Vang

Not too long ago, the only way to in actual fact see a movie was to go to the movie theater. It was only in the 1980's that the technology of videos and VCR's came out. Many of the first video stores in reality rented out Videocassette recorder's along with the movies because so few individuals owned them at the beginning.

Soon but, each one owned a VCR and since then the technology has just enhanced over time. Along came DVD's and now Blu-ray. But probably the most exhilarating step forward is being able to download the movie directly to your own computer in the security of your own dwelling.

Choose from the list below and download a wonderful motion picture to watch tonight.

The Sea Hawk - Top of the line combination with Flynn at his streaking best in venture on the high oceans. The film has a enthusiastic balance of piracy, romance, and swordplay, handsomely shot, and orchestrated with exciting Erich Wolfgang Komgold score. Cast includes Errol Flynn, Brenda Marshall, Claude Pours, Donald Crisp, Flora Robson, Alan Hale, Henry Daniell, Una O'Connor, Gilbert Roland, and Edgar Buchanan.

Slavers - A 1978-German film, C-I02 Slavers is about the slave trade industry that went on in Africa all through the 19th century. An brilliant cast is saddled with second-rate script. Cast includes Trevor Howard, Ron Ely, Britt Ekland, Jurgen Goslar, Ray Milland, Ken Gampu, and Cameron Mitchell.

Lara Croft Tomb Raider, The Cradle of Life - Pouting and pillaging in a collection of revealing outfits, Jolie returns as the video-game adventuress who teams up with her gloomy ex in a race to find Pandora's Box before it falls into the hands of an evil scientist who wants to harness its current to develop biological weapons. Astonishingly clumsy and interminable continuation gives new significance to the word "uninteresting." Cast includes Angelina Jolie, Gerard Butler, Noah Taylor, Christopher Barrie, and Simon Ya.

Red Sun - East meets West in this eccentric tale of a samurai fighter chasing a priceless Japanese sword stolen from a train crossing the American West. Cast includes Charles Bronson, Ursula Andress, Toshiro Mifune, Alain Delon, and Capucine.

Lost Horizon - First half hour duplicates 1937 movie scene for scene, and everything's going well. Then we get to Shangri-La and everything goes wrong. Cast includes Peter Finch, Liv Ullmann, Sally Kellerman, George Kennedy, Michael Yolk, Olivia Hussey, Bobby Van, James Shigeta, Charles Boyer, and John Gielgud.

Kimberley Jim - Little musical of 2 lighthearted gamblers who win a fortune in a fixed poker game, and then have a change of heart. Cast includes Jim Reeves, Madeleine Guide, Clive Pamell, Arthur Swemmer, and Mike Holt.

Hail Caesar - Horrible music-megastar wannabe (Chamber) is in love with an unpleasant debutante, whose father is planning to undermine an upcoming concert. Not a very good film. Cast includes Anthony Michael Chamber, Robert Downey, Jr., Frank Gorshin, Samuel L. Jackson, Judd Nelson, and Nicholas Pryor. - 17990

About the Author:

You can find various quantity of websites that permit you to download your games for free If you are looking for information about free full game download or wmv video downloads then you came to the right site.

The Hotel Reservation System: The Perfect Property Management Software

By Jefferson Johnson

As we all know, the work of hotel managers is not an easy work to do, especially in this time of the year which is one of the busiest for any hotel not just in the US but most probably in every country in the world. Hotel managers don't only need to make sure that everything is running smoothly, but also they has to make sure that every facility that the hotel has should be working well.

And not just that, he has to make sure also that all the things that the guests have should be given no more and no less. And this is the reason why every hotel manager needs all the help for them to be able to cover all these tasks on a day to day basis.

This is why hotels and property businesses use property management software and hotel reservation systems for their business management solution. Property management software is basically a computer program or software that you run through computer or laptop.

This property management software will help hotel managers of a limited-scale operation. It will help by making sure that guests are properly booked and upon arrival until they depart they will be properly checked in and out.

As for a full scale operation, this software will also do the job of the daily routines in the hotel business. One in four women has experienced some form of domestic violence. Imagine every fourth woman at the market as a victim of domestic abuse. A Las Vegas domestic abuse lawyer doesnt have to seek clients. A Las Vegas domestic violence lawyer wishes the recession would hit her business. The opposite is generally the case; a recession increases the occurrence of domestic violence. Painfully, there is a lot more domestic violence then most people realizes.

Using data from various surveys, it is estimated that 600,000 to 6 million women are victims of domestic violence every year in the United States . Domestic abuse towards men is estimated to be between 100,000 to 1 million a year. Gathering accurate statistics on domestic violence and abuse can be difficult for a number of reasons. The definition of abuse can be a wide or more narrow definition depending on the survey. The motivation and willingness to respond openly and honestly can also depend on the way the information is collected. Many people are frightened or ashamed to admit abuse. However, by any definition or survey it is an alarming amount of abuse. Although the abuse may differ , the intention seldom does. Domestic violence is about controlling another person. This is done in many of ways.

When one person wishes to control another in relationship they often inflict many different forms of abuse. A method of control that is likely less apparent is psychological or emotional abuse. This usually means humiliating and diminishing the other person, attempting to destroy their self-confidence. Often a person trying to take or maintain control in relationship will use blame like an offensive weapon to keep the other person on the defensive. Blame muddies the issues helping the abuser avoid criticism or consequences. Many abusers will even blame the victim for their abusive behavior.

Another form of psychological abuse is isolation. An abuser will attempt to separate and control the victims access to family and friends. The abuser will often undermine outside relationships, cutting the victim off from their resources and support. This is often done through guilt, threats and manipulation, often so subtlety the victim believes it was their own doing and desire.

Physical violence includes verbal abuse, breaking of physical objects, throwing items, and hitting, kicking, slapping and biting. Any form of unwanted and forced physical contact is a form of violence. In'94, 37% of women seeking medical attention in an emergency room for violence related injuries stated they were injured by their domestic partner, boyfriend or girlfriend.Who becomes victims? Anyone breathing air may be a victim of domestic abuse. Domestic abuse happens regardless of race, wealth, religious affiliation or sexual preference. Many cases of abuse involve reciprocated violence where both partners become abusive. Domestic abuse continues to be a dangerous social problem that requires attention. - 17990

About the Author:

Connor Sullivan was fascinated by the quality work provided by the Las Vegas domestic abuse lawyer he spent time with.
